DMACK Music Licensing Agreement Artist Sampling License Agreement Licensor: Donna McKissack d/b/a DMACK Project • Governing Law: State of Georgia 1. Grant of Rights Licensor (“Owner”) grants Licensee (“Artist”) a non-exclusive, non-transferable license to use a sample of the sound recording and underlying musical composition entitled “{NOW IS THE TIME}” (“Work”) solely in the new musical work “{NOW IS THE TIME}” (“New Work”). Only the sample expressly approved in writing by Licensor may be used. 2. Scope of Use Licensee may incorporate the approved sample into the New Work and exploit the New Work via: physical formats, downloads, streaming, audiovisual uses (videos, promotional clips), and live performance. Any other use, remix, interpolation, stems, or adaptation requires Licensor’s prior written consent. 3. Ownership and Reservation Licensor retains all right, title, and interest in and to the Work (master and composition). No ownership transfers. All rights not expressly granted are reserved by Licensor. 4. Credit “Contains a sample of ‘{NOW IS THE TIME}’ written and produced by Donna McKissack d/b/a DMACK Project, used under license.” Credit will appear in metadata, liner notes, and where credits are customarily given. 5. Compensation & Royalty Participation As consideration, Licensee shall pay a flat fee of ${$500-$2000 for small independent artist, $2000-$10,000 mid-tier use and $10,000+ major use and large territory} and Licensor shall receive 25% publishing ownership / 10% master royalty share. Mechanical, performance, and synchronization royalties will be allocated in accordance with these ownership shares. Accounting and payment shall occur semi-annually within 45 days of period end, accompanied by statements. 6. Term and Territory Term: 12 months unless otherwise agreed upon. Territory: Worldwide. 7. Representations and Warranties Licensor represents it has the authority to grant this license. Licensee represents it will not exceed the rights granted. 8. Indemnification Licensee will indemnify, defend, and hold Licensor harmless from claims arising from unauthorized use or breach by Licensee. 9. Governing Law This Agreement is governed by the laws of State of Georgia. 10. Entire Agreement This is the entire agreement regarding the sample and supersedes all prior communications.
